1. Introduction

This website is managed and maintained by Penne & Friends Limited, trading as Penne & Co. (“we”, “us”, “our”), registered in England and Wales with Company Registration Number 15896071. Our registered office is Unit 9B Roper Close, Canterbury, Kent, CT2 7EP, England.

By accessing or using our website www.penneand.co (the “Website”) or purchasing our products, you agree to be bound by these Terms & Conditions.

2. Privacy

Your privacy is important to us. Please review our Privacy Policy for details on how we collect, use, and safeguard your information. As our store is powered by Shopify, certain data is also processed by Shopify in accordance with their privacy policy.

3. Access to the Website

We aim to ensure continuous access to the Website, but cannot guarantee uninterrupted or error-free service. Access may be temporarily suspended or restricted for maintenance, updates, or circumstances beyond our control. We will seek to minimise disruption where possible.

4. Licence for Website Use

We grant you a limited, revocable licence to access and make personal, non-commercial use of the Website. This licence does not permit you to:
- Reproduce, duplicate, copy, sell, or exploit the Website or its contents for commercial purposes,
- Use data mining, robots, or similar tools for data extraction,
- Modify, frame, or interfere with the Website without our express written consent.

Any unauthorised use terminates this licence.

5. Access and Accounts

You must be at least the age of majority in your country of residence to use our Services, or have parental consent if applicable. You may be asked to provide information such as your name, email, billing, payment, and shipping details. You warrant that this information is accurate and complete.

You are responsible for maintaining the security of your account credentials and for all activity under your account. Accounts may not be transferred, sold, assigned, or licensed to another person.

6. Orders and Contract Formation

Placing an order constitutes an offer to purchase products. We will confirm receipt of your order by email, but a binding contract is only formed when we dispatch your order and send you a Shipping Confirmation Email.

We may refuse or cancel orders if:
- Products are unavailable,
- Payment cannot be authorised,
- There are errors in pricing or descriptions, or
- We reasonably suspect fraud, misuse, or resale.

Purchases are for personal and household use only and not for commercial resale or export.

7. Pricing and Payment

- Prices are displayed in GBP, EUR, or USD depending on your selection or location.
- Prices include VAT or sales tax where applicable. Customs duties, local taxes, or import fees are the responsibility of the customer.
- Prices, discounts, and promotions may change without notice. The price charged is the price in effect at the time of order and confirmed in your order email.
- Accepted payment methods include Visa, Mastercard, AMEX, PayPal, Apple Pay, Google Pay, Klarna, and ClearPay.
- You represent that your payment details are accurate, that you are authorised to use the chosen method, and that all charges will be honoured.

If a pricing error occurs, we are not obliged to supply products at the incorrect price.

8. Delivery

- UK delivery: Standard £[X.XX], free above £[XX]. Different rates may apply for Northern Ireland, Isle of Man, and Channel Islands.
- International delivery: rates are shown at checkout. Additional local charges may apply.
- Delivery times: UK [X–X] working days; international varies by destination. Times are estimates only.
- We are not liable for delays caused by carriers, customs processing, or events outside our control.
- Risk passes to you on delivery in the UK, or upon transfer to the carrier for international orders. Ownership passes once full payment is received.

9. Returns and Refunds

- Items must be unused, clean, and returned in original packaging with tags intact.
- Refunds: request within 14 days of receipt.
- Exchanges: request within 30 days (UK only).
- Customised items cannot be returned unless faulty.
- Refunds are processed within 3–5 business days of receiving the item and returned to the original payment method.
- Free gifts must also be returned unused, or their value may be deducted.

10. Customisation Disclaimer

Where products are customised, you are responsible for ensuring accuracy of the personalisation details provided. We are not liable for errors you submit.

11. Warranty

All Penne & Co. products are covered by a 12-month warranty against defects in materials or workmanship. This does not cover:
- Normal wear and tear,
- Damage from chewing, misuse, neglect, or accidents.

To make a claim, email barkbark@penneand.co with photos and order details. Approved claims may result in repair, replacement, or refund.

12. Product Use and Liability

All products are for pet use only and must be used in accordance with instructions. You are responsible for ensuring suitability for your pet. Penne & Co. is not liable for damage caused by misuse, failure to follow guidelines, or use beyond intended purpose. Nothing in these Terms affects your statutory rights.

13. Promotions and Discounts

Promotional codes or discounts are valid only during the stated period and cannot be applied retrospectively. Only one promotion may be used per order unless otherwise stated. Free gifts must be returned if qualifying orders are refunded.

14. Intellectual Property

All intellectual property in the Services — including trademarks, logos, names, designs, images, and content — is owned by Penne & Co. or licensors.

You may use the Services only for personal, non-commercial purposes. You may not reproduce, modify, distribute, or exploit any content without prior written consent.

Penne & Co.’s names, logos, and designs are our trademarks. Shopify’s names and marks remain their property. Third-party trademarks belong to their respective owners.

15. User Content and Feedback

If you submit reviews, photos, ideas, or other content (“Feedback”), you grant us a worldwide, royalty-free, perpetual licence to use, reproduce, modify, and distribute it for any purpose.

You warrant that you own or control the rights to your Feedback, and that it complies with these Terms. You may not submit unlawful, defamatory, or infringing content. We may monitor or remove content at our discretion.

16. Conduct and Prohibited Uses

You may not use the Services to:
- Violate any applicable law,
- Infringe intellectual property rights,
- Harass, defame, or harm others,
- Transmit false, misleading, or harmful content,
- Send spam, chain letters, or malware,
- Impersonate another person, or
- Interfere with security or operation of the Services.

We may suspend or terminate access for violations.

17. Third-Party Links and Tools

Our Services may include links or tools provided by third parties. These are offered “as is” without warranties. Your use of them is at your own risk and subject to the third party’s terms. We are not responsible for their content, accuracy, or practices.

18. Relationship with Shopify

Our store is powered by Shopify. Sales and purchases are made directly with Penne & Co. Shopify is not responsible for any aspect of sales between you and us. By using the Services, you expressly release Shopify from all claims or liabilities relating to your transactions with us.

19. Termination

We may terminate your access to the Services at any time, at our discretion. You remain liable for all amounts due up to termination. Provisions intended to survive termination (such as Intellectual Property, Feedback, Liability, and Indemnification) will continue to apply.

20. Limitation of Liability and Disclaimer of Warranties

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or liability that cannot be excluded by law.

Except as required by law, the Services and products are provided “as is” and “as available” without warranties of any kind. We do not guarantee uninterrupted, timely, secure, or error-free operation.

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential losses. Our total liability shall not exceed the price paid for the product in question. Your statutory rights remain unaffected.

21. Indemnification

You agree to indemnify Penne & Co., our affiliates, and employees from reasonable claims, losses, or expenses arising from your breach of these Terms, infringement of third-party rights, or unlawful use of the Services. This does not apply where claims arise from our negligence, fraud, or wilful misconduct.

22. Events Beyond Our Control

We are not responsible for failure or delay caused by events outside our reasonable control, including strikes, natural disasters, or transport disruptions.

23. Consumer Rights

Nothing in these Terms affects your statutory rights under UK law, including rights under the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013.

24. Assignment and Transfer

We may assign or transfer our rights and obligations under these Terms. You may not transfer your rights without our written consent.

25. Severability and Entire Agreement

If any provision is invalid, the remainder will remain in effect. These Terms, along with our Privacy Policy and other referenced policies, constitute the entire agreement between you and us.

26. Governing Law and Jurisdiction

These Terms and any disputes are governed by English law. You agree to submit to the non-exclusive jurisdiction of the courts of England and Wales.

27. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page and, where required by law, notified to you. Continued use of the Services constitutes acceptance of the updated Terms.
